By accessing or using Boble, you agree to these Terms. Please read them carefully before creating an account, subscribing, or making a purchase through a Boble-powered store.

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Boble website, mobile applications, and platform (collectively, the “Service”), operated by Boble, Inc. (“Boble,” “we,” “our,” or “us”). By creating an account, subscribing, or otherwise accessing the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

These Terms apply to both Merchants (businesses using Boble to sell) and Buyers (customers purchasing through Boble-powered stores or joining branded communities).

2. Eligibility

• You must be at least 18 years old to create a Merchant account.

• Community members and Buyers must be at least 13 years old (with parental consent where required by law — see Section 13).

• By using Boble, you represent that you meet these requirements and that all information you provide is accurate and complete.

3. Account Registration

• You are responsible for maintaining the confidentiality of your login credentials.

• You are responsible for all activity that occurs under your account.

• Notify us immediately at support@boble.com if you suspect unauthorized access.

• One person or entity may not maintain more than one account unless expressly authorized by Boble.

4. The Boble Platform

Boble is an all-in-one SaaS platform that enables Merchants to:

• Create and sell digital products, subscriptions, and payment links.

• Connect payment processors (Boble Payments or supported third-party processors) to accept payments and receive payouts.

• Host a branded community web and mobile app where customers can consume purchased content and engage with each other.

• Customize the look and feel of their community to reflect their brand.

Boble acts as a platform provider and is not a party to transactions between Merchants and their customers, except where Boble Payments is used and Boble has been designated as Merchant of Record (see Section 11).

5. Subscriptions & Platform Fees

• Merchant subscriptions are billed in advance on a monthly or annual basis.

• Subscription fees are non-refundable except as provided in our Refund Policy.

• We reserve the right to change subscription fees with at least 30 days’ notice.

• Boble may charge platform transaction fees per sale as disclosed in your plan.

• All fees are exclusive of taxes, which are your responsibility.

6. Acceptable Use

You agree not to:

• Violate any applicable law or regulation.

• Sell prohibited products or services (see Section 8).

• Infringe the intellectual property rights of others.

• Upload malicious code, spam, or engage in phishing.

• Attempt to gain unauthorized access to any portion of the Service.

• Engage in any conduct that disrupts or interferes with the Service.

7. Merchant Terms

This section applies specifically to Merchants — individuals or businesses who create a Merchant account on Boble to sell products or services and manage a branded community.

7.1 Merchant Eligibility

To create a Merchant account, you must: be at least 18 years of age; be a legal entity or individual authorized to conduct business in your jurisdiction; provide accurate business and tax information during onboarding; and connect a supported payment processor to receive payouts.

7.2 Creating & Selling Products

• You may create digital products, subscription offers, or payment links through your Merchant dashboard.

• You are solely responsible for the accuracy of product descriptions, pricing, and delivery.

• You must comply with all applicable consumer protection, truth-in-advertising, and digital goods laws.

• You may not sell products or services listed under Section 8 (Prohibited Products & Services).

7.3 Community Platform

Your subscription includes access to a hosted community web and mobile app for your customers. As a Merchant, you may brand the community with your name, logo, colors, and domain (subject to plan limits); are responsible for moderating your community in accordance with Section 10 (Community Standards); acknowledge that Boble provides the underlying technology — you are the operator of your community; and must not use the community platform to engage in or facilitate any prohibited activity.

7.4 Merchant Responsibilities

• Maintain accurate business, tax, and banking information in your account.

• Issue appropriate receipts and refunds to customers as required by law and our Refund Policy.

• Collect, report, and remit applicable sales taxes. Boble is not your tax agent (except where Boble is designated as Merchant of Record — see Section 11).

• Comply with applicable data protection laws when handling customer personal data obtained through Boble.

• Respond to customer inquiries and disputes in a timely manner.

• Ensure your customers are aware of these Terms, our Privacy Policy, and our Refund Policy where applicable.

7.5 Merchant Representations & Warranties

You represent and warrant that: (a) you have full authority to enter this Agreement; (b) your products and services are lawful in the jurisdictions where you offer them; (c) your content does not infringe any third-party rights; and (d) all information you provide is truthful and accurate.

8. Prohibited Products & Services

The following categories are strictly prohibited on the Boble platform. Violations may result in immediate account suspension, fund holds, and/or legal action.

8.1 Illegal Products & Services

• Counterfeit goods or services that infringe intellectual property rights.

• Illegal drugs, controlled substances, or drug paraphernalia.

• Unauthorized prescription medications or medical devices.

• Products or services that violate any applicable local, state, or federal law.

• Stolen goods or goods obtained through fraudulent means.

8.2 Harmful & Dangerous Content

• Instructions or tools for creating weapons, explosives, or dangerous substances.

• Content that promotes or glorifies violence, self-harm, or terrorism.

• Malware, spyware, hacking tools, or services designed to compromise security.

• Content that facilitates human trafficking or exploitation.

8.3 Adult & Explicit Content

• Pornographic or sexually explicit content of any kind.

• Any content involving minors in a sexual or exploitative context — zero-tolerance.

• Content that sexualizes real individuals without their clear consent.

8.4 Financial & Fraudulent Services

• Pyramid schemes, Ponzi schemes, or MLM programs promising guaranteed returns.

• Money laundering, currency manipulation, or fraudulent financial instruments.

• Unauthorized sale of financial instruments or securities.

• “Get rich quick” schemes that make misleading earnings claims.

• Gambling services where prohibited by law.

8.5 Deceptive Practices

• False advertising, fake reviews, or misleading product descriptions.

• Impersonation of another person, brand, or Boble itself.

• Phishing, social engineering, or any scheme to deceive users.

• Selling access to accounts, credentials, or personal data of others.

8.6 Hate, Discrimination & Privacy Violations

• Products or content promoting hatred or violence based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.

• White supremacist, extremist, or terrorist propaganda.

• Selling personal data, surveillance tools, or stalkerware.

• Doxing tools or services that expose private information.

8.7 Sanctions & Export Controls

• Transactions with individuals or entities on U.S. government sanctions lists (OFAC, etc.).

• Export-controlled technology or products in violation of U.S. export laws.

Report violations to trust@boble.com. Boble investigates all reports and reserves the right to remove content and suspend accounts without notice.

9. Buyer Terms

This section applies when you purchase a product, service, or subscription from a business that uses Boble’s platform.

9.1 Your Purchase Relationship

When you purchase from a Boble-powered store, you are entering into a transaction with the Merchant (the business owner), not with Boble — except where Boble Payments processes your transaction and Boble has been designated as Merchant of Record (see Section 11). Boble provides the technology that enables the transaction.

9.2 Payments at Checkout

• Payments are processed securely through the Merchant’s connected payment processor (Boble Payments, Stripe, PayPal, or other supported processor).

• All prices are displayed in the currency specified by the Merchant.

• Applicable taxes may be added at checkout depending on your location and the Merchant’s settings.

• Your payment method will be charged at the time of purchase, or on the schedule set by the Merchant for subscriptions.

9.3 Digital Product Delivery

• Digital products are delivered through the Boble community platform — accessible via web and mobile app.

• Access is typically granted immediately after successful payment confirmation.

• You are responsible for maintaining the device and internet connection required to access your purchases.

• Your access is subject to the Merchant’s terms and continued operation of their store on Boble.

9.4 Buyer Account Security

Keep your login credentials secure and do not share your account. You are responsible for all activity on your account. Notify the Merchant or support@boble.com immediately if you suspect unauthorized access.

9.5 Buyer Intellectual Property

Purchasing access to a digital product does not transfer ownership of the underlying intellectual property. You receive a personal, non-transferable license to access and use the content as permitted by the Merchant. You may not copy, resell, or redistribute purchased content without express written permission.

9.6 Refunds & Cancellations

Refund and cancellation policies for Buyer purchases are governed by our Refund Policy and the individual policies set by each Merchant.

10. Community Standards

These standards apply to every community hosted on the Boble platform. All Merchants and community members must follow them, alongside any additional rules set by individual Merchants.

10.1 Be Respectful

• Treat all members with dignity and respect, regardless of background, beliefs, or opinions.

• Disagreements are okay — personal attacks, harassment, and bullying are not.

• No hate speech or language that demeans others based on race, ethnicity, gender, religion, disability, sexual orientation, or any other characteristic.

10.2 Keep It Relevant & Authentic

• Share content relevant to the community’s purpose.

• Avoid spam, repetitive posts, or unsolicited promotional content.

• Use your real identity or an identity you are authorized to use.

• No fake accounts or automation to game engagement.

10.3 Protect Privacy & Safety

• Do not share personal information about other members without their consent.

• Do not record, screenshot, or redistribute private conversations without permission.

• Do not share content that promotes self-harm, suicide, violence, or is graphic/explicit.

• Do not post content designed to frighten, threaten, or intimidate others.

10.4 No Illegal Activity

• Do not use the community to engage in, promote, or facilitate any illegal activity.

• Do not share copyrighted material you do not have rights to distribute.

• Do not impersonate other people or organizations.

10.5 Enforcement

Merchants are primarily responsible for moderating their own communities. Boble also monitors for platform-wide violations. Consequences may include content removal, temporary suspension, or permanent ban from the platform. Severe violations (child safety, illegal activity) are reported to appropriate authorities.

11. Payments & Merchant of Record

11.1 Boble’s Role in Payment Processing

Boble enables Merchants to connect payment processors and accept payments. Depending on your setup:

• Third-party processor model: You contract directly with a supported processor (Stripe, PayPal, etc.). Boble facilitates the connection but is not a party to the transaction.

• Boble Payments model: Where Boble Payments is offered, Boble or its licensed partner acts as the payment facilitator (“PayFac”). Additional regulatory terms and KYC obligations apply.

11.2 Supported Processors

• Stripe — governed by the Stripe Services Agreement.

• PayPal — governed by the PayPal User Agreement.

• Boble Payments — governed by the Boble Payments Addendum (provided at enrollment). KYC and AML requirements apply.

By connecting any processor, you agree to be bound by that processor’s terms in addition to these Terms. Boble is not responsible for processor actions, fees, holds, or decisions.

11.3 Merchant of Record — Default Position

The “Merchant of Record” (MoR) is the legal entity that appears on the customer’s payment statement, bears responsibility for sales tax, and is liable for chargebacks, refunds, and payment disputes.

By default, you (the Merchant) are the Merchant of Record for all transactions through your Boble store. Boble operates as a technology marketplace, not the seller. This means: your business name appears on customer receipts; you handle sales tax collection and remittance; you bear primary liability for chargebacks and disputes; and you must ensure your products comply with consumer protection laws.

11.4 Boble Payments MoR Exception

If you use Boble Payments and Boble (or its licensed partner) is explicitly designated as MoR for your transactions: Boble appears on the customer’s statement; Boble handles sales tax collection where applicable; Boble manages the primary relationship with card networks for dispute resolution; and Boble charges an additional fee for assuming MoR responsibilities. You remain responsible for product quality, legality, and delivery. Available only in jurisdictions where Boble is authorized to operate in this capacity.

11.5 Money Transmission, KYC & AML

Where Boble Payments is used, Boble operates under its bank partner’s or registered MSB’s licensing umbrella. Merchants using third-party processors are subject to those processors’ licensing directly. Boble complies with KYC and AML requirements under the Bank Secrecy Act and FinCEN regulations. Merchants must provide verifiable identity information during onboarding and keep it current. Accounts that cannot be verified may be suspended.

11.6 PCI DSS & OFAC Compliance

Boble does not store, transmit, or process raw cardholder data on its own servers — payment data is handled by PCI-compliant processors. Boble screens Merchants and transactions against the OFAC Specially Designated Nationals (SDN) list and other sanctions lists. Matching accounts or transactions will be blocked.

11.7 Payouts, Holds & Chargebacks

• Payout timing is controlled by your processor. Boble cannot accelerate or delay processor-held funds.

• Processors may impose holds for risk management, fraud review, or chargeback reserves.

• Merchants must maintain a chargeback rate below card network thresholds (generally 1% for Visa, 1.5% for Mastercard). Excessive chargebacks may result in reserves, suspension, or termination.

• Boble may deduct disputed amounts from future payouts pending resolution.

• Boble monitors for suspicious activity and may place holds, suspend payouts, or terminate accounts where fraud or policy violations are suspected.

12. Intellectual Property

Boble and its licensors own all rights to the platform, including its software, design, trademarks, and content produced by Boble. You retain ownership of content you upload, but you grant Boble a limited, royalty-free license to host, display, and deliver that content as necessary to operate the Service.

13. Youth Safety

13.1 Age Requirements

• Merchant accounts: Merchants must be at least 18 years old.

• Community members: Users under 13 are not permitted on Boble without verifiable parental consent.

• Users 13–17: Must have parental or guardian consent to join a community. Merchants who knowingly allow communities intended for minors agree to implement appropriate safeguards.

13.2 Merchant Obligations for Youth Communities

If your community is directed to or includes users under 13, you must notify Boble at compliance@boble.com, obtain verifiable parental consent, publish a COPPA-compliant privacy policy, actively moderate your community, and respond to Boble safety inquiries within 24 hours. 13.3 Zero Tolerance for CSAM & Grooming

Boble maintains a strict zero-tolerance policy toward any content that sexually exploits or endangers minors, including CSAM, content that sexualizes or grooms minors, and solicitation of minors. Any account involved will be immediately and permanently banned. Boble reports all instances to the National Center for Missing and Exploited Children (NCMEC) and cooperates fully with law enforcement. Boble also prohibits unsolicited messaging of minors, requests for personal information or images from minors, and content designed to isolate or manipulate minors.

13.4 Safe Content Standards for Minors

Communities that include minors must ensure all accessible content is age-appropriate and free from graphic violence, explicit language, adult themes, or promotion of self-harm or substance use.

13.5 Reporting Child Safety Concerns

• In-app report feature for community violations.

• Email trust@boble.com — subject “URGENT: Child Safety” for urgent matters.

• Report CSAM to the NCMEC CyberTipline at missingkids.org.

14. Indemnification

14.1 Boble’s Indemnification of Users

Boble will defend, indemnify, and hold harmless users from third-party claims arising solely from Boble’s gross negligence, willful misconduct, or infringement of a third party’s intellectual property by Boble’s own platform technology, provided that you promptly notify Boble of the claim, grant Boble sole control of the defense, provide reasonable cooperation, and the claim does not arise from your own actions or breach of these Terms.

14.2 Merchant Indemnification of Boble

You agree to defend, indemnify, and hold harmless Boble, Inc. and its officers, directors, employees, agents, subsidiaries, and successors (collectively, “Boble Parties”) from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your products, services, or content sold or distributed through Boble.

• Your breach of any representation, warranty, or obligation under these Terms.

• Your violation of applicable law, including tax, consumer protection, data privacy, and financial regulations.

• Any dispute between you and your customers.

• Chargebacks, payment disputes, or fraudulent activity associated with your account.

• Your community platform’s content or moderation failures.

• Any third-party claim that your content infringes intellectual property or other rights.

14.3 Buyer Indemnification of Boble

Buyers agree to indemnify Boble Parties from claims arising from violation of these Terms or applicable law, misuse of purchased content, or disputes initiated in bad faith.

15. Disclaimers & Limitation of Liability

15.1 Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BOBLE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. BOBLE DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15.2 Liability Cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BOBLE’S TOTAL AGGREGATE LIABILITY TO ANY USER FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM — WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE GREATER OF:

• (A) The total fees paid by you to Boble in the twelve (12) months immediately preceding the event giving rise to the claim; or

• (B) One Hundred U.S. Dollars ($100.00).

This cap applies even if Boble has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

15.3 Exclusion of Consequential Damages

IN NO EVENT SHALL BOBLE OR ANY BOBLE PARTY BE LIABLE FOR ANY: indirect, incidental, special, exemplary, or consequential damages; loss of profits, revenue, data, business, or goodwill; costs of substitute goods or services; business interruption losses; or damages arising from unauthorized access to or alteration of your data.

15.4 Essential Basis of the Bargain

The liability limitations in this Section reflect a reasonable allocation of risk and are an essential element of the basis of the bargain. Without these limitations, Boble would not be able to offer the platform at the pricing and terms provided.

15.5 Exceptions

Nothing in this Section limits liability for: death or personal injury caused by Boble’s gross negligence or willful misconduct; fraud or fraudulent misrepresentation by Boble; or any liability that cannot be excluded under applicable law. Some jurisdictions do not allow certain exclusions; in those jurisdictions, the exclusions apply to the fullest extent permitted.

16. Suspension & Termination

Either party may terminate an account at any time. Boble may suspend or terminate accounts immediately for violations of these Terms, fraudulent activity, excessive chargebacks, sale of prohibited products, or conduct posing risk to users or the platform. Upon termination, outstanding payouts may be withheld pending dispute resolution or legal requirements. Your right to access the Service ceases. Provisions that by their nature should survive termination will do so — including Sections 12 (IP), 14 (Indemnification), 15 (Liability), and 18 (Disputes).

17. Changes to These Terms

We may modify these Terms at any time. We will provide at least 14 days’ notice of material changes by email or prominent in-platform notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive the right to participate in class action lawsuits.
